These Terms & Conditions ("Terms") govern your use of the Nexova HRMS - Employee mobile application (com.nexova.hrms), the Nexovaweb platform employee portal, and related employee self-service services (collectively, the "Service") provided by Techzex Software Pvt. Ltd.("we", "us", "our").

By downloading, installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service is provided to your employer under a commercial subscription. Your employer controls which features are enabled, employment policies, and most HR data in the system. You are responsible for following your employer's workplace policies in addition to these Terms.

We are not your employer. Payslips, leave approvals, attendance rules, and HR decisions are made by your employer, not by Techzex Software Pvt. Ltd..

• You must be authorised by your employer to use the Service (typically as an employee or contractor).
• You must provide accurate information and keep your login credentials secure.
• You must not share your account or allow others to access the Service using your credentials.
• Notify your employer or us immediately if you suspect unauthorised access to your account.

You may use the Service only for legitimate employment and HR self-service purposes, including:

• Marking attendance (including geo or selfie verification when enabled).
• Applying for leave, WFH, expenses, and other HR requests.
• Viewing payslips, documents, notices, and company policies.
• Completing assigned tasks, forms, surveys, and support tickets.

You agree not to:

• Use the Service for any unlawful purpose or in violation of employer policies.
• Attempt to bypass security, access other users' data, or probe or disrupt our systems.
• Submit false attendance punches, fraudulent claims, or misleading information.
• Copy, scrape, reverse engineer, or resell the Service except as allowed by law.
• Upload malware, offensive content, or material that infringes third-party rights.
• Use automated tools to access the Service without our written consent.

When your employer enables geo-attendance or selfie verification, you consent to the collection and use of location and camera data as described in our Privacy Policy. You are responsible for punching attendance honestly and in accordance with your employer's rules. Misuse may result in disciplinary action by your employer and suspension of access to the Service.

The Service, including software, design, logos, and documentation, is owned by Techzex Software Pvt. Ltd. or its licensors and is protected by intellectual property laws. Your employer may display its own branding within the app. No rights are granted except as necessary to use the Service under these Terms.

The app may link to third-party sites or use device services (maps, push notifications, secure storage). Those services are governed by their own terms. We are not responsible for third-party products or services outside our control.

We strive for reliable uptime but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice where practicable. We may update the app and these Terms; material changes will be posted at https://nexova.business/terms-and-conditions.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose. HR calculations, statutory filings, and compliance outputs depend on data entered by your employer and authorised users; you should verify critical payroll and compliance matters with your employer's finance or HR team.

To the maximum extent permitted by applicable law, Techzex Software Pvt. Ltd. and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Service.

Our total liability for any claim relating to the Service shall not exceed the amount paid by your employer for the Service in the twelve (12) months before the claim, or INR 10,000, whichever is greater, except where liability cannot be limited under applicable law.

You agree to indemnify and hold harmless Techzex Software Pvt. Ltd. from claims arising from your misuse of the Service, violation of these Terms, or violation of law or third-party rights, except where caused by our gross negligence or wilful misconduct.

Your access may be ended by your employer, by us (for breach or security reasons), or when your employment ends. Upon termination, your right to use the Service stops immediately. Provisions that by nature should survive (liability limits, indemnity, governing law) will survive.

These Terms are governed by the laws of India. Courts in Odisha, India shall have exclusive jurisdiction, subject to mandatory consumer or employment protections that apply in your jurisdiction.
